Welcome to the Magic Link from Maintenance Desk™, provided by Maintenance Desk Ltd., a wholly owned subsidiary of FiXiFi.Ai Ltd. (“we,” “us,” or “our”).
These Terms apply to Letting Agents, Property Managers, or Landlords (“You” or “Your”) who do not hold a recurring SaaS subscription with us, but who are interacting with our platform via a secure “Magic Link” or omnichannel message to review a tenant’s maintenance report and authorise a repair.
By accessing the Magic Link, instructing our AI (“Kojak”), or clicking “Approve & Dispatch”, you agree to be legally bound by these terms for this specific transaction.
Our platform uses AI to triage your tenant’s issue and generate a data–driven repair quote. By clicking “Approve & Dispatch,” replying affirmatively via SMS/WhatsApp/Email, or otherwise instructing our system to proceed, you are issuing a legally binding Purchase Order. You commit to paying the total specified Service (Job) Quote in accordance with the specific payment terms outlined in the job description at the time of your approval.
Authority: By authorising this repair, you warrant that you have the requisite legal and financial authority from the property owner (Landlord) to approve this specific expenditure. You accept ultimate liability for the invoice regardless of any internal disputes with your client.
Device Security: Any affirmative instruction originating from your phone number, email address, or unique Magic Link is presumed to be fully authorised by your Agency. You are solely responsible for securing your devices and communication channels. We accept no liability for “accidental” approvals or approvals made by unauthorised staff members.
The quote presented to you by our AI (“Kojak”) is “Fully Loaded.” This means the final price is inclusive of the contractor’s fee, plus our platform’s efficiency take rate (our orchestration margin). This take rate covers the cost of the automated triage, compliance monitoring, and digital dispatch provided by our software. We do not charge you a separate invoice for this software service; it is baked entirely into the approved quote.
Payment deadlines vary depending on the contractor and the nature of the repair. Your specific payment terms will be clearly displayed in the service description prior to your authorisation. Upon the contractor marking the job as complete, you will be issued an invoice for the amount due, which must be settled strictly within this agreed timeframe. Overdue payments will accrue statutory interest and may be referred to third–party debt collection.
We act strictly as a digital orchestration layer connecting your tenant’s report to a contractor. We do not manage your property, and we are not a party to the tenancy agreement.
To protect the integrity of our marketplace, you agree that for a period of twelve (12) months following the introduction of any contractor to you via this transaction, you shall not directly or indirectly solicit, contract with, or engage that specific contractor for property maintenance services outside of our platform. Breach of this clause will result in a penalty fee equivalent to the lost efficiency take rate on circumvented jobs and a permanent ban from our ecosystem.
If you authorise a dispatch, the repair will be carried out by an independent third–party contractor from our network. We do not employ these contractors. We accept no liability for the quality of their physical workmanship, any property damage they cause, their compliance with health and safety regulations, or any failure to resolve the underlying issue.
Your transaction is facilitated by our sophisticated, multi–agent AI ecosystem. You acknowledge the specific limitations of these agents:
When instructing Kojak via third–party channels (e.g., WhatsApp, SMS, Meta, Apple Siri), you are subject to their respective Terms of Service. You acknowledge that messages and data may be processed by these telecommunication providers before reaching our secure systems.
For the purposes of this transaction, under the UK GDPR, You are the Data Controller of the personal data (PII) belonging to your tenant. We are the Data Processor, facilitating the transfer of this data to the independent contractor solely to execute the repair you authorise. By accessing this Magic Link or reviewing the enclosed tenant data, you acknowledge your status as the Data Controller of your tenant’s personal information, regardless of whether you ultimately authorise the repair. You remain responsible for fulfilling any Subject Access Requests or deletion requests from your tenant.
While you retain control over your tenant’s personal data, Maintenance Desk™ acts as a data registry for residential property intelligence. You agree that FiXiFi.Ai Ltd. retains exclusive, perpetual, and irrevocable ownership of all anonymised, non–personally identifiable data generated through this transaction. This exclusively owned data moat includes:
All intellectual property rights in Maintenance Desk™, WrenchTime.app, Job Desk™, Hello Maintenance, Maintenance Magic, our multi–agent AI ecosystem (‘Hannah’, ‘Kojak’, ‘Bob’, and ‘Ada’), our internal computer vision models, and the underlying software architecture remain the exclusive property of FiXiFi.Ai Ltd. Accessing a Magic Link or interacting with our AI does not grant you any license or rights to our underlying software or intellectual property.
To improve our AI diagnostic models, you acknowledge that any anonymised fault media (photos/videos) submitted by your tenant or the dispatched contractor will be used under a perpetual, royalty–free license by FiXiFi.Ai Ltd. strictly for internal AI training.
You acknowledge that your tenant initiated this report subject to the Hello Maintenance Tenant Terms of Use, which dictate that our software does not replace your statutory obligations.
You agree to indemnify and hold harmless Maintenance Desk Ltd. and FiXiFi.Ai Ltd. from any claims, fines, or legal fees arising from: (a) your failure to meet statutory repair deadlines; or (b) physical harm or property damage resulting from your failure to act on a flagged repair.
To the maximum extent permitted by law, our total aggregate liability to you for any claims arising under these Transactional Terms shall be strictly limited to the specific “efficiency take rate” earned by us on the individual transaction in dispute. We shall not be liable for any indirect, consequential, or reputational damages.
You agree to hold the pricing mechanics, quotes, and proprietary AI workflows presented within the Magic Link in strict confidence. You shall not share screenshots, quotes, or platform mechanics with competing software providers or third parties.
The Magic Link, AI triage, and dispatch services are provided on an “as–is” and “as–available” basis. We do not warrant that the platform will be error–free or uninterrupted, and we accept no liability for delays caused by server outages or latency.
If any provision of these Terms is found to be unenforceable, it shall be limited to the minimum extent necessary so the Terms remain in full force. We reserve the right to update these transactional terms at any time.
These Terms are governed by the laws of England and Wales.
